Terms and Conditions

1. Access to the Portal

1.1 The Portal is accessible only to authorized Dealers of Ansata within the Indian subcontinent.
1.2 Access credentials provided by Ansata are confidential and non-transferable.
1.3 Dealers are responsible for maintaining the confidentiality of their login credentials and all activities conducted under their account.

2. Use of Portal Resources

2.1 The Portal provides access to marketing materials, product information, pricing details, training resources, and other proprietary content.
2.2 Dealers may use the resources only for the promotion, sale, and support of Ansata’s products.
2.3 Unauthorized use, reproduction, or distribution of Portal content is strictly prohibited.

3. Dealer Obligations

3.1 Dealers must ensure that their account information is accurate and up to date.
3.2 Dealers shall use the Portal in compliance with all applicable laws and follow our branding and sales guidelines.
3.3 Dealers agree not to:

  • Share access credentials with unauthorized persons.
  • Misuse, alter, or compromise the integrity of the Portal.

4. Intellectual Property

4.1 All content, trademarks, and materials on the Portal are the intellectual property of Ansata or its licensors.
4.2 Dealers acknowledge that access to the Portal does not grant them any ownership rights over such intellectual property.

5. Data Privacy and Security

5.1 Ansata will collect and process Dealer data in accordance with its Privacy Policy.
5.2 Dealers agree not to use the Portal to upload or transmit any harmful or malicious content.

6. Termination of Access

6.1 Ansata reserves the right to terminate or suspend a Dealer’s access to the Portal at its sole discretion, including but not limited to:

  • Breach of this Agreement.
  • Misuse of the Portal or its resources.
  • Non-compliance with applicable laws.

6.2 Upon termination, Dealers must cease all use of the Portal and return or destroy any downloaded materials.

7. Limitation of Liability

7.1 Ansata does not guarantee uninterrupted access to the Portal and shall not be liable for any downtime or technical issues.
7.2 Ansata shall not be responsible for any indirect, incidental, or consequential damages arising from the use or inability to use the Portal.

8. Amendments

8.1 Ansata reserves the right to modify this Agreement at any time. Changes will be notified to Dealers via the Portal or email.
8.2 Continued use of the Portal constitutes acceptance of the revised terms.

9. Governing Law and Dispute Resolution

9.1 This Agreement is governed by the laws of India.
9.2 Any disputes arising from this Agreement shall be resolved through arbitration in Bengaluru, India, in accordance with the Arbitration and Conciliation Act, 1996.

10. Terms of Sale

10.1 All purchases made by the Dealer through the Portal are subject to Ansata’s standard terms of sale.
10.2 Prices listed on the Portal are subject to change without prior notice.
10.3 Orders placed through the email are final and binding once confirmed by Ansata.
10.4 Payment terms, delivery schedules, and other conditions will be as per the terms agreed by both the parties- dealers and distributor.
10.5 Ansata reserves the right to reject or cancel any order at its discretion.
10.6 Any claims related to defective products or discrepancies in orders must be submitted within seven (7) days of delivery.
10.7 Clearance sale pricing displayed on the website is final and will not be subject to additional partner discounts or special pricing.

11. Acceptance

By signing up for the Dealer Portal, the Dealer acknowledges that they have read, understood, and agreed to these terms and conditions.
